Welcome to Troveloop Plus. Prior to utilizing our Platform, thorough comprehension of these Terms of Service ("Agreement" or "Terms") is mandatory. Accessing or engaging with Troveloop Plus services constitutes binding acceptance of all provisions herein. Non-acceptance requires immediate service discontinuation.

1. Agreement Scope and Acceptance

These Terms govern your relationship with Troveloop Plus, encompassing:

• Mobile applications across iOS and Android platforms
• Web-based interfaces and portals
• Associated APIs and third-party integrations
• Customer support channels and communications

By creating an account, initiating transactions, or accessing any Service component, you acknowledge reading, understanding, and agreeing to these Terms alongside our Privacy Policy.

• "Wallet" designates your Platform account balance holding exchanged funds.

3. User Eligibility Requirements

Service access mandates meeting these criteria:

• Age Requirement: Minimum 18 years of age or legal majority in your jurisdiction, whichever is greater.
• Legal Capacity: Possess full legal authority to enter binding contracts.
• Jurisdictional Compliance: Not prohibited by applicable laws from using financial exchange services.
• Account Authenticity: Provide truthful, accurate identity and contact information.
• Single Account Policy: Maintain only one active account per individual.

Underage individuals, legally restricted persons, or those misrepresenting eligibility face immediate account termination and potential legal action.

4. Account Registration and Management

A. Account Creation:

While browsing may occur without registration, transactional features necessitate account establishment. During registration, you commit to:

• Supply accurate, complete, current information
• Maintain information accuracy through timely updates
• Verify identity through required documentation
• Accept responsibility for all account activities

• Suspicious patterns or security threats
• Prolonged inactivity (12+ months without transactions)

5. Acceptable Use Policies

A. Permitted Usage:

We grant limited, non-exclusive, non-transferable, revocable access for personal, non-commercial purposes, specifically to:

• Exchange legitimate gift cards you legally own
• Access account information and transaction history
• Utilize customer support and educational resources
• Receive promotional communications (with consent)

B. Prohibited Activities:

Users must not engage in:

• Fraudulent Transactions: Submitting stolen, counterfeit, or unauthorized gift cards
• System Manipulation: Exploiting bugs, circumventing security, or automated bot usage
• Multiple Accounts: Creating duplicate profiles for advantage or deception
• Illegal Activities: Money laundering, fraud schemes, or regulatory violations
• Platform Disruption: DDoS attacks, virus transmission, or service interference
• Data Scraping: Unauthorized automated data extraction or monitoring
• Intellectual Property Infringement: Copying, modifying, or distributing Platform elements
• Harassment: Abusive behavior toward staff or other users

6. Gift Card Exchange Process

A. Submission Requirements:

Valid submissions necessitate:

• Clear, legible card images showing numbers and PINs
• Authentic cards with unaltered balances
• Legal ownership and exchange authorization
• Supported brand and denomination acceptance

B. Valuation and Pricing:

Exchange rates fluctuate based on market demand, brand popularity, and card condition. Rates are estimates until verification completion. We reserve rights to reject cards or modify offers during authentication.

C. Transaction Finality:

Once accepted and funds transferred, transactions are final. Buyer's remorse, rate changes, or subsequent higher offers do not constitute refund grounds.

7. Financial Terms and Conditions

A. Fees and Charges:

While gift card exchanges are fee-free, withdrawal transactions may incur:

• Bank transfer fees (1-3% depending on method)
• Expedited processing charges for rapid withdrawals
• Currency conversion fees for international transfers

B. Withdrawal Policies:

Minimum withdrawal thresholds, processing timelines, and method availability vary by region. Users must verify banking information accuracy before requesting transfers.

C. Taxation Responsibility:

You bear sole responsibility for tax obligations arising from Platform earnings. We may report transactions to authorities as legally required.

8. Intellectual Property Rights

All Platform elements—including software code, user interfaces, graphics, logos, trademarks, designs, documentation, and proprietary algorithms—remain exclusive property of Troveloop Plus or licensors, protected by copyright, trademark, patent, and trade secret laws.

Unauthorized reproduction, distribution, modification, reverse engineering, or commercial exploitation constitutes infringement subject to legal action and damages.

9. User-Generated Content

Submitting reviews, feedback, suggestions, or communications grants us non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to utilize, reproduce, modify, publish, and distribute such content across all media formats.

You warrant possessing all necessary rights, that content is original or properly licensed, and submission violates no third-party intellectual property, privacy, or other rights.

10. Privacy and Data Protection

Data collection, usage, storage, and sharing practices are governed by our Privacy Policy, incorporated by reference. By accepting these Terms, you consent to described data practices.

11. Third-Party Services and Links

Our Platform may integrate third-party payment processors, identity verification services, or analytics tools, plus display external website links. We neither endorse nor control third-party content, policies, or practices.

Third-party engagement occurs at your discretion and risk. We disclaim liability for third-party actions, errors, or omissions. Review external terms and privacy policies before proceeding.

12. Service Availability and Modifications

We endeavor to maintain continuous Platform availability but cannot guarantee uninterrupted access. Service may be temporarily unavailable due to:

• Force majeure events beyond reasonable control

We reserve rights to modify, suspend, or discontinue features, adjust exchange rates, update policies, or terminate Services entirely without advance notice or liability.

Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We explicitly disclaim:

• Merchantability warranties: Platform suitability for particular purposes
• Accuracy guarantees: Information, pricing, or availability completeness
• Uninterrupted operation: Continuous, error-free, secure access
• Results warranties: Specific outcomes, exchange rates, or timing
• Third-party reliability: Partner services or linked website quality

No oral or written information from us creates warranties beyond those explicitly stated herein.

14. Liability Limitations and Indemnification

A. Limitation of Liability:

To maximum extent permitted by applicable law, Troveloop Plus, its officers, directors, employees, and agents shall not be liable for:

• Indirect, incidental, consequential, special, or punitive damages
• Lost profits, revenue, data, or business opportunities
• Service interruptions, errors, or security breaches
• Third-party actions or omissions
• Unauthorized account access resulting from inadequate security practices

Our total aggregate liability never exceeds the lesser of (a) amounts paid to us in the 12 months preceding the claim, or (b) $100 USD.

B. User Indemnification:

You agree to indemnify, defend, and hold harmless Troveloop Plus from claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

• Your Terms violations or illegal activities
• Fraudulent gift card submissions
• Intellectual property infringement
• Third-party claims related to your conduct
• Inaccurate information or misrepresentations

15. Dispute Resolution and Arbitration

A. Informal Resolution:

Before initiating formal proceedings, contact [email protected] describing your concern. We commit to good-faith resolution efforts within 30 days.

B. Binding Arbitration:

Unresolved disputes shall be settled through binding arbitration rather than court litigation, except where prohibited by law. Arbitration proceedings occur individually (no class actions) under applicable arbitration rules in the jurisdiction specified in the Governing Law section.

C. Exceptions:

Either party may seek injunctive relief in courts for intellectual property infringement or Terms violations.

16. Account and Service Termination

A. User-Initiated Termination:

Close your account anytime through Settings. Upon closure, withdraw remaining Wallet balances within 30 days or forfeit funds. Termination doesn't absolve liability for pre-termination activities.

B. Platform-Initiated Termination:

We may suspend or terminate accounts immediately, without notice or liability, for:

• Terms violations or prohibited activity engagement
• Fraudulent transactions or suspicious patterns
• Repeated disputes or chargebacks
• Legal compliance requirements or court orders
• Extended inactivity periods
• Any reason deemed necessary for Platform integrity

Termination consequences include access revocation, pending transaction cancellation, and potential fund forfeiture for policy violations.

17. Terms Modifications and Updates

These Terms may be revised periodically for operational, legal, or regulatory reasons. Material changes trigger notification through:

• Prominent in-app announcements
• Email to registered addresses (where applicable)
• Website notification banners

Changes become effective upon posting unless otherwise specified. Continued Platform usage post-modification constitutes acceptance. Disagreement with revised Terms requires service discontinuation.

18. Governing Law and Jurisdiction

These Terms are governed by and construed under the laws of Nigeria, excluding conflict-of-law provisions. Exclusive jurisdiction for disputes (excluding arbitration) resides in Nigerian courts.

If you access Services from other jurisdictions, you remain responsible for local law compliance. Nothing herein limits our rights to seek relief in any competent jurisdiction.

19. Severability and Waiver

If any provision is deemed invalid, illegal, or unenforceable, remaining provisions continue in full effect. Invalid provisions shall be modified minimally to achieve intended effect while maintaining enforceability.

Failure to enforce any right or provision doesn't constitute waiver of future enforcement. All waivers must be explicit and written.

20. Entire Agreement

These Terms, alongside our Privacy Policy and any supplemental policies, constitute the complete agreement between you and Troveloop Plus, superseding all prior communications, proposals, or understandings (oral or written).

21. Force Majeure

We aren't liable for delays or failures caused by events beyond reasonable control, including natural disasters, wars, terrorism, labor disputes, government actions, internet disruptions, or other force majeure circumstances.
